This Shelter Onboarding Agreement (“Agreement”) is entered into by and between Clawpurr Inc. (“Clawpurr,” “we,” “us,” or “our”) and the shelter entity agreeing to these terms (“Shelter,” “you,” or “your”).
By registering your Shelter on the Clawpurr platform (“Platform”), you agree to the terms and conditions set forth below.
1. Use of Platform
1.1 The Platform allows Shelters to list animals for sponsorship, adoption, or other forms of support, and to receive funds contributed by sponsors, donors, or other third parties.
1.2 Clawpurr provides the Platform as a service and does not act as an agent, fiduciary, or representative of the Shelter or its animals.
2. Fees and Revenue Sharing
2.1 Sponsorship Fees: For any sponsorship or donation received by the Shelter via the Platform, Clawpurr shall retain 10% of the gross amount as a platform fee.
2.2 Additional Fees: Clawpurr may, at its discretion, deduct additional referral or marketing fees, provided that the total deductions (including the 10% fee) do not exceed 20% of the gross payout or $50, whichever is higher.
2.3 Adjustments: Clawpurr may update its fee structure upon written notice or update to this Agreement on the Platform. Continued use of the Platform constitutes acceptance of such changes.
2.4 Payouts: Net proceeds (after deductions) shall be disbursed to the Shelter within a reasonable time frame, subject to payment processor timelines and compliance checks.
3. Shelter Responsibilities
3.1 Accuracy of Information: The Shelter represents and warrants that all information provided (including animal details, sponsorship requests, and organizational information) is true, accurate, and not misleading.
3.2 Compliance with Law: The Shelter is solely responsible for ensuring compliance with all applicable federal, state, and local laws, regulations, and licensing requirements governing its operations.
3.3 Animal Welfare: The Shelter is solely responsible for the care, custody, and welfare of all animals listed on the Platform. Clawpurr assumes no liability for the condition, treatment, or outcomes of any animal.
3.4 Liability: The Shelter agrees to indemnify, defend, and hold harmless Clawpurr, its officers, employees, contractors, and affiliates from any and all claims, damages, losses, or liabilities arising from:
- Misrepresentation of information
- Negligence or misconduct of the Shelter or its staff
- Injuries, illnesses, or issues involving any animal under the Shelter’s care
- Breach of this Agreement
4. Clawpurr Rights
4.1 Clawpurr may remove, suspend, or terminate the Shelter’s access to the Platform at any time if it reasonably believes the Shelter has violated this Agreement or engaged in fraudulent, harmful, or unlawful conduct.
4.2 Clawpurr reserves the right to use the Shelter’s name, logo, and non-confidential content (e.g., photos of sponsored animals) for promotional, fundraising, or marketing purposes related to the Platform.
4.3 Clawpurr may withhold payouts temporarily in cases of dispute, suspected fraud, or compliance review.
5. Payment Processing
5.1 Sponsorships and donations may be processed by third-party payment providers. The Shelter agrees to comply with all terms and conditions of such providers.
5.2 Clawpurr is not responsible for payment processing delays, reversals, chargebacks, or disputes.
6. Limitation of Liability
6.1 Clawpurr shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, goodwill, or reputational harm.
6.2 Clawpurr’s total aggregate liability under this Agreement shall not exceed the total fees collected by Clawpurr from the Shelter in the preceding three (3) months.
7. Term and Termination
7.1 This Agreement shall remain in effect unless terminated by either party upon written notice.
7.2 Upon termination, the Shelter’s listings will be removed from the Platform, and any outstanding balances will be settled in accordance with Section 2.
8. Miscellaneous
8.1 Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
8.2 Amendments: Clawpurr may amend this Agreement at any time by posting an updated version on the Platform.
8.3 Governing Law: This Agreement shall be governed by and construed under the laws of the State of Texas, without regard to conflict of law principles.
8.4 Severability: If any provision is held unenforceable, the remaining provisions shall remain in effect.
8.5 Assignment: The Shelter may not assign this Agreement without Clawpurr’s prior written consent.
By onboarding onto the Clawpurr Platform, the Shelter acknowledges and agrees to the terms of this Agreement.
